Acceptance of Terms
By accessing or using the Mihron AI website (mihronai.ca), our AI receptionist platform (“Maya”), or any related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”).
If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you must not access or use the Services.
Description of Services
Mihron AI provides AI-powered voice and chat receptionist services designed for healthcare and professional service businesses. Our Services include:
- Maya AI Receptionist — automated phone answering, appointment booking, and patient/client intake via voice and SMS.
- Client Dashboard — a secure web portal for managing call logs, appointments, analytics, and account settings.
- Integration Services — connections to scheduling platforms, CRM systems, and communication tools.
- Consulting & Setup — onboarding, configuration, and ongoing optimization of your AI receptionist.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.
User Accounts
To access certain features of the Services, you must create an account. When creating your account, you agree to:
- Provide accurate, current, and complete information.
- Maintain the security of your password and login credentials.
- Promptly update your account information if it changes.
- Accept responsibility for all activities that occur under your account.
You must notify us immediately at hello@mihronai.ca if you suspect unauthorized access to your account. Mihron AI is not liable for any loss resulting from unauthorized use of your account.
Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Services to transmit spam, phishing messages, or unsolicited communications.
- Attempt to gain unauthorized access to our systems, other users’ accounts, or third-party services connected through our platform.
- Interfere with or disrupt the integrity or performance of the Services.
- Reverse engineer, decompile, or disassemble any part of the Services.
- Use the Services to collect, store, or process personal information in violation of applicable privacy laws.
- Misrepresent yourself or your affiliation with any person or entity when using the Services.
We reserve the right to suspend or terminate your access if you violate these acceptable use requirements.
Intellectual Property
All content, features, and functionality of the Services — including but not limited to text, graphics, logos, software, AI models, and voice personas — are the exclusive property of Mihron AI or its licensors and are protected by Canadian and international intellectual property laws.
You retain ownership of any content you provide to us (such as business information, call scripts, or branding materials). By providing this content, you grant Mihron AI a limited, non-exclusive license to use it solely for the purpose of delivering the Services to you.
You may not copy, reproduce, distribute, or create derivative works from our Services without prior written consent from Mihron AI.
Payment Terms
Certain Services require payment. By subscribing to a paid plan, you agree to the following:
- Billing — fees are billed in advance on a monthly or annual basis as selected during onboarding. All amounts are in Canadian dollars (CAD) unless otherwise stated.
- Payment methods — we accept major credit cards and other payment methods as displayed at checkout.
- Taxes — all fees are exclusive of applicable taxes (HST/GST), which will be added to your invoice where required by law.
- Late payments — invoices not paid within 15 days of the due date may result in suspension of Services. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month.
- Refunds — fees are non-refundable except where required by law or at our sole discretion.
We may change our pricing with at least 30 days’ written notice. Continued use of the Services after a pricing change constitutes acceptance of the new pricing.
Fair Usage Policy
Mihron AI offers plans that include “unlimited” calling for Maya AI Receptionist. To ensure a consistently high-quality experience for all clients, these plans are subject to the following Fair Usage Policy.
Monthly Minute Allowance
Unlimited calling plans include up to 800 minutes of total inbound and outbound call time per calendar month. This allowance is designed to accommodate the vast majority of healthcare and professional service practices and represents approximately 26 minutes of call handling per day.
What Happens If You Exceed 800 Minutes
- No surprise charges — we will never bill you for overages without your prior written consent.
- Notification — if your usage approaches or exceeds 800 minutes in a billing period, we will notify you via email and through the Client Dashboard.
- Grace period — you will receive a one-time courtesy allowance of up to 100 additional minutes while we work with you to assess your needs.
- Overage rate — any usage beyond the 800-minute allowance (and the one-time 100-minute grace period) will be charged at $0.45 per minute (CAD). Overage charges are billed at the end of the billing period and itemized on your invoice.
- Plan adjustment — if your usage consistently exceeds 800 minutes, we will work with you to find a plan that better suits your call volume, which may include a higher-tier plan or custom pricing.
Prohibited Usage
The unlimited calling plan is intended for legitimate business reception and scheduling purposes only. The following uses are not permitted under the fair usage allowance:
- Automated bulk outbound calling, robocalling, or telemarketing campaigns.
- Reselling or sharing your Maya AI minutes with third parties not covered under your account.
- Artificially inflating call volumes through call loops, test scripts, or automated dialing systems.
Mihron AI reserves the right to suspend or throttle call services if usage patterns indicate abuse or violation of this policy. We will always attempt to contact you and resolve the matter before taking any action.
Data & Privacy
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Services, you acknowledge that:
- Voice calls handled by Maya AI may be recorded for quality assurance and service improvement, in compliance with applicable Canadian and provincial laws.
- Conversation data is processed by our AI systems to provide responses, book appointments, and improve service accuracy.
- We implement industry-standard security measures, including encryption, access controls, and regular audits, to protect your data.
- For clients handling Protected Health Information (PHI), we offer HIPAA-aligned safeguards and Business Associate Agreements (BAAs) upon request.
Disclaimers
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Mihron AI disclaims all warranties, whether express, implied, or statutory, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Any warranty that the Services will be uninterrupted, error-free, or completely secure.
- Any warranty regarding the accuracy or reliability of AI-generated responses.
Maya AI is a tool designed to assist with reception and scheduling tasks. It is not a substitute for professional medical, legal, or financial advice. You are responsible for verifying the accuracy of any information provided through the Services.
Limitation of Liability
To the maximum extent permitted by applicable law, Mihron AI and its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Services.
Our total aggregate liability for any claims arising from or related to the Services shall not exceed the total fees paid by you to Mihron AI during the twelve (12) months preceding the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Canadian law.
Termination
Either party may terminate these Terms at any time:
- By you — you may cancel your account by contacting us at hello@mihronai.ca or through the Client Dashboard. Cancellation takes effect at the end of your current billing period.
- By Mihron AI — we may suspend or terminate your access immediately if you breach these Terms, fail to pay fees when due, or if we are required to do so by law.
Upon termination, your right to access the Services ceases immediately. We will retain your data in accordance with our Privacy Policy and applicable legal requirements. You may request a copy of your data before or within 30 days after termination.
Changes to Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make material changes, we will:
- Post the updated Terms on this page with a new “Last updated” date.
- Notify you via email or through the Client Dashboard at least 30 days before changes take effect.
Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Services.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the courts located in Toronto, Ontario, Canada. Both parties consent to the personal jurisdiction of such courts.
